Terms of Service and Payment
- Membership and Application for Joining
When you ("User", "You") join as a member of iHH co., ltd (hereinafter referred to as "iHH", "We") or use the products and related services or features of iHH (collectively referred to as "iHH Services"), users accept these terms of use which are applicable and will be guided and bound by them (hereinafter referred to as "this Agreement").
Applying for membership is free. Users can apply for a new account through social accounts such as Google, Apple, and Microsoft, as well as through interfaces or methods accepted by iHH at the time of application. If a user's email address or social account is found to be invalid, iHH reserves the right to suspend the user's iHH account and delete or remove any files attached to that account without any liability. If a user encounters application joining or payment refund issues due to using an invalid email address or social account, it will only be processed after the user resubmits and confirms a valid email or social account that belongs to the complainant. Upon applying to join as a member of iHH, it is considered that you have agreed to receive all emails or newsletters sent by iHH. Users are only required to pay when ordering or purchasing iHH Services.
Users must comply with the age restrictions of their country/region to use iHH Services. If users are minors, have limited capacity or no capacity for action in their country/region, they must obtain permission from their parents or legal guardians. Individuals without capacity for action must have their legal guardians apply to join or pay for the purchase to use iHH Services and accept this Agreement.
- Services
Users must obtain or download iHH Services through legal and authorized channels by iHH. Some iHH products can be used without joining as an iHH member, while other iHH Services require the completion of membership application to use the services included in the products.
- Ordering and Trial
iHH offers the following ordering plans:
(1) Direct Order (Without Trial)
Users can order iHH Services through iHH apps or websites.
The iHH Services ordered by the user will be automatically renewed until the user stops the order of iHH Services. The payment for the order and renewal will be charged to the user's credit card or other payment methods according to the selected period by the user. If the user wishes to stop the paid subscription, the user should follow the instructions in point 5.
(2) Services purchased through the App Store and Google Play operate independently and do not support cross-platform sharing. Even if the Google Play account and Apple ID use the same email address, the paid services cannot be shared across different platforms.
(3) Whether the paid features purchased can be used within the app depends on whether the Apple ID or Google Play Store account logged into the current compass phone is the same as the account used to purchase the paid services. If the account logged in does not match the account used for purchase, access to the paid services may not be possible.
(4) By subscribing to this service, it indicates that you have read, understood, and agreed to follow our terms of use and privacy policy. The subscription fee will be automatically charged to the credit card associated with your mobile account, and the subscription will automatically renew 24 hours before the end of each period. If you wish to cancel your subscription, you must do so at least 24 hours before the end of the current subscription period to avoid charges for the next period. You can enter the subscription settings page at any time to manage or cancel your subscription.
Uninstalling the APP does not equate to canceling the paid subscription service. To cancel the subscription, you must enter the subscription settings page and follow the cancellation process. To avoid future charges, please ensure that you have completed the cancellation process correctly.(5) Grace Period
In the App Store and Google Play, we offer a 3-day paid grace period aimed at addressing unsuccessful payment situations. During this period, users have the opportunity to reset their payment methods. If payment is still unsuccessful within these 3 days, the user's service will automatically convert to a free plan. To ensure that your rights are not affected, users are strongly advised to ensure the accuracy of their payment information and the smooth progress of the payment.
- Termination of Subscription
If a user purchases an iHH Service subscription through the app, the user should follow the platform's required steps, including viewing the subscription history or stopping auto-renewal for the service originally subscribed to. For example, if a user subscribes to an iHH Service through Apple's in-app purchase, the user should follow Apple's subscription management process or refund method, please see https://support.apple.com/en-ap/HT202039; or if a user subscribes to an iHH Service through the Google Play Store's in-app purchase, the user should follow the Google Play Store's process, please see https://support.google.com/googleplay/answer/2476088. However, users who order iHH Services on the "iHH Member Center" website can view the subscription history or stop auto-renewal on the order history webpage. After you terminate your subscription, we will stop the automatic deduction for the next billing cycle. However, you can continue to use the service until the service period for which you have already paid ends. Subscribing to iHH Services is considered acceptance and use of the content of iHH Services by the user. Once the subscription period expires and the user stops subscribing in the manner described in point 4, iHH has the right to delete or remove any files autonomously. The privacy policy and information security policy of iHH's privacy policy (see https://www.ihh.tw/privacy) and information security policy (see https://www.ihh.tw/terms) The personal information provided to iHH by the user, as well as any information obtained by iHH due to the user's use of iHH's website or iHH Services, is guided by iHH's privacy policy and protected by the information security policy for the user's information security.
iHH’s refund policy for subscriptions via the "iHH Member Center" website is as follows. For subscriptions via Apple App Store or Google Play Store, please follow the refund standards and procedures of those platforms:
(1) Refund requests within 7 days of subscription: Users are eligible for a full (100%) refund of the purchase amount, but a handling fee of up to 5% of the purchase amount may be deducted.
(2) Refund requests after 7 days of subscription: The refund amount will be calculated based on the proportion of the remaining subscription days from the date the user applies for the refund. A handling fee of up to 5% of the purchase amount may be deducted.
(3) After the subscription period expires: It is considered that the user has accepted and used iHH’s services, and no refund will be provided.
If users cancel the renewal of iHH’s service before the subscription period expires, they can still access or use the service until the expiration date. However, if users cancel their subscription and receive any refund from iHH, the service will be automatically terminated at the same time.
In the event of a refund or subscription cancellation, users are fully responsible for backing up their files. iHH is not responsible for any loss, recovery, or damage of files under any circumstances.
- Subscription Expiration
The iHH subscription system, unless otherwise specified in these terms of use, adopts an automatic renewal system. Once the subscription period expires, if the user does not stop subscribing according to point 4, it is considered acceptance of continued paid subscription.
- Compliance Obligation
The user shall ensure that all content and materials created or generated using the iHH service, including but not limited to text, images, graphics, videos, sounds, information, data, raw materials, files, and documents, do not infringe upon the copyrights, trademark rights, patent rights, or any other intellectual property rights and related rights of others. If such an infringement occurs, the user shall handle it independently and bear all damages or compensation claims incurred by the company as a result. The user shall be liable to the company for all related compensation, including but not limited to travel expenses, litigation costs, attorney fees, investigation fees, appraisal fees, notarization fees, and goodwill damages. In the event of any violation of the aforementioned provisions by the user, the company reserves the right to suspend or terminate the user's access to the iHH service.
- Intellectual Property Rights
The user retains the copyright of works created, uploaded, or stored in the cloud storage space using iHH Services. However, the user accepts to grant iHH a non-exclusive, perpetual, unrestricted, royalty-free right to display, copy, reproduce, post, transmit the works worldwide for marketing purposes (including minor modifications for technical or editorial reasons).
The user declares and guarantees the content or files created, uploaded, or stored in the cloud storage space using iHH Services:
- a. are owned by the user, or although owned by a third party, the user has obtained the explicit permission from the third party to use, copy, transmit the files, or modify, create derivatives;
- b. do not violate any copyright, trademark, patent, trade secret, or other intellectual property rights;
- If there is a change in the terminal device you are using, please remind you to deactivate the original terminal device first and reactivate it on the new terminal device. Any loss caused by the change of the terminal device shall be borne by you.
- c. do not infringe on any third party's privacy or any rights;
- d. do not violate any laws (such as obscenity, offensive content, etc.), do not violate employment or confidentiality agreements, trade secrets or confidential information, or potential illegal suspicions, or violate related guidance or policies.
- User Conduct
The user guarantees "not to" use iHH Services for the following improper purposes: a. Upload, download, post, email, transmit, store, share, import, or otherwise provide any illegal, harassing, threatening, harmful, infringing, defamatory, slanderous, vilifying, violent, obscene, vulgar, invasive of others' privacy, hateful, racially discriminatory, or other inappropriate content; b. Stalk, harass, threaten, or harm others; c. Impersonate any person or entity, including, but not limited to, a community leader or government leader, or falsely state or misrepresent your relationship with any person or entity (iHH reserves the right to refuse or block any account or email address that may be considered as impersonation or false identity, or unauthorized use of another's name or identity); d. Transmit, transfer, or otherwise provide any unsolicited or unauthorized email messages, advertising, promotional materials, junk mail, or chain letters, including but not limited to mass commercial advertising and informational announcements; e. Upload, email, transmit, or otherwise provide any data or any other computer code, files, or programs designed to harm, interfere with, or limit the normal operation of iHH products or services (or any part thereof) or any other computer software or hardware; and/or f. Collect and store any other user's personal information of iHH Services for any of the prohibited activities mentioned above.
- Changes
iHH reserves the right to revise, adjust, or change this Agreement, services, prices, or add new or additional terms and conditions to the user's services at any time. Users accept the responsibility to regularly review this Agreement. The user's continued use of iHH products or services indicates acceptance of the updated Agreement. If you do not accept the updated Agreement, please do not continue using iHH products or services. When we update this Agreement, we will immediately post it on the iHH website and notify users as soon as possible through the app or email.
- Suspension
If a user is reported, or iHH receives notification from a third-party service platform, or iHH reasonably discovers that a user has (1) actions violating the declarations and guarantees of this Agreement; (2) improper actions listed in point 9; (3) abuse actions listed below, or (4) situations that iHH reasonably considers similar to the aforementioned, iHH has the right to immediately suspend the user's right to continue using iHH products or services in whole or in part, or change/remove the content uploaded or provided by the user, and if necessary, stop providing services or stop the user's subscription.
iHH is not liable to the user or any third party for any damages that may arise from the suspension or termination of the account and/or access to iHH products or services. If a user's account is suspended due to abuse, iHH has the right not to refund.
If a user files a dispute for a refund with a third-party payment platform due to iHH's suspension or termination of the account and/or access to iHH products or services, and if iHH can reasonably prove that the suspension of rights was based on the user's abuse, in addition to the user still being required to pay the fees for the relevant iHH products or services, the user must also bear the expenses and costs incurred by iHH in handling the dispute.
"Abuse actions" include but are not limited to:
(1) Multiple applications for new accounts after an account is reasonably suspended by iHH or according to this Agreement.
(2) Any action beyond the reasonable use range of iHH Services, including exploiting product or service vulnerabilities, or violating product or service use rules, etc.
- Stopping Subscription
When a user violates this Agreement, when any loss related to iHH Services occurs, or when iHH considers it necessary, iHH may stop services or subscriptions and this does not affect its right to claim. And iHH is not liable to the user or any third party for any damages that may arise from stopping the account and/or stopping the subscription.
The user may voluntarily stop the subscription according to the provisions of point 3.
Once the user's account is stopped, the user will lose all channels to access the services, including but not limited to the account itself, username, email account, and content. iHH products and services share the same iHH account. Once the iHH account is deleted, it will not be possible to use any iHH products or services with that account.
- Restricted Use
The use of iHH Services by users should only be limited to the scope of this Agreement and within the range permitted by applicable laws, guidelines, or generally acceptable practices within the applicable jurisdiction.
- Disclaimer of Warranty
iHH does not guarantee that the use of services will be uninterrupted or error-free, and users accept that iHH may remove services indefinitely at any time or stop services agreed upon in this Agreement.
Users understand and accept that iHH Services are provided on an "as is" and "as available" basis. iHH and its affiliates, subsidiaries, directors, managers, employees, agents, partners, licensors expressly disclaim any form of warranty, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Specifically, iHH and its affiliates, subsidiaries, directors, managers, employees, agents, partners, licensors do not guarantee: (i) that the service will meet your requirements; (ii) that the use of the service will be timely, uninterrupted, secure or error-free; (iii) that any information obtained by users from the service will be accurate and reliable; (iv) that any defects or errors in any software provided to users as part of the service will be corrected.
iHH does not represent or warrant that iHH Services will be free from loss, attacks, viruses, interference, hacking, or other security intrusions, and iHH disclaims any liability for such.
Any data downloaded or otherwise obtained through the use of iHH Services is at the user's own risk, and the user will be fully responsible for any damage to the user's computer system or loss of data that results from the download of such data. Users also understand that iHH Services are not necessarily suitable or appropriate for the user's situation or environment, and when service-provided data or information has issues such as time delays, errors, or inaccuracies, it may cause crashes, personal injury, or serious physical or environmental damage.
- Liability for Compensation
Users agree to protect, indemnify, and keep iHH, and its affiliates, subsidiaries, directors, managers, employees, agents, partners, licensors harmless from any claims, including reasonable attorney's fees, arising from the following situations: (i) user uploads, posts, transmits, or otherwise makes available through iHH Services (ii) use of the service (iii) user's violation of this Agreement (iv) when iHH takes investigative action or suspects a violation of this Agreement (v) user's violation of any third party's rights (vi) user's violation of the declarations or guarantees of this Agreement. When iHH decides to remove or refuse any information or content, warns the user, suspends or stops the user's access to iHH Services, or takes any action upon investigation or suspicion of violation or conclusion of violation of this Agreement, the user shall not sue iHH, and its affiliates, subsidiaries, directors, managers, employees, agents, partners, licensors. Users understand that they are responsible for all uses of iHH Services and this Agreement applies to all uses of the user's account.
Users agree to comply with this Agreement and protect, indemnify, and keep iHH harmless from any claims or damages arising from the use of iHH Services or account, whether such use is by the user or a third party.
The obligations in the preceding paragraph remain effective after the termination or expiration of this Agreement or when the user stops subscribing.
- Limited Liability
To the maximum extent permitted by law, iHH, and its affiliates, subsidiaries, directors, managers, employees, agents, partners, licensors, etc., shall not be liable for any direct, indirect, incidental, special, consequential damages, including but not limited to damages for loss of use, data, business, goodwill, or profits, or the cost of procurement of substitute goods or services, or any other tangible or intangible losses, arising from the operation by the user or a third party, regardless of the legal basis, or whether iHH has been informed of the possibility of such damages, and whether the user may claim damages or not. The total compensation amount arising from or related to this Agreement by iHH is limited to the average amount paid by the user for the relevant iHH Services within [3] months before the occurrence of the damage event [100]%.
- Governing Law and Dispute Resolution
This Agreement and the service relationship between iHH and the user are guided by and interpreted according to the laws of the Republic of China, excluding the application of other conflicting laws. Disputes arising from the service shall be subject to the jurisdiction of the Taipei District Court in Taiwan as the first-instance court for both parties.
- Language Versions and Translations
iHH provides translations of the terms content in some languages for international users. If there is any discrepancy between the translation version and the Chinese version, the content shall be subject to the Chinese version.
